These Terms of Service ("Terms") govern your use of the Stock Depot Enterprise platform operated by StockHQ Technologies OPC ("StockHQ," "we," "us," or "our"). By accessing or using the platform, you agree to be bound by these Terms.
1. Platform Overview
Stock Depot Enterprise is a business-to-business (B2B) procurement platform that connects food and beverage businesses ("Buyers") with suppliers and vendors ("Vendors"). The platform facilitates product sourcing, order management, payment processing, and delivery coordination.
2. Account Terms
- You must provide accurate, complete, and current information when registering for an account.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
- Accounts are created by StockHQ administrators or through an approved onboarding process. Unauthorized account creation is prohibited.
- You must notify us immediately of any unauthorized use of your account.
- One person or business entity may not maintain more than one active account per role without prior approval.
3. Buyer Terms
- Orders placed through the platform are binding once confirmed.
- Prices displayed in the catalog are enterprise prices set by StockHQ and may be updated from time to time.
- Payment terms are as agreed during onboarding. All invoices must be settled within the agreed payment period.
- Delivery schedules are estimates. While we coordinate with vendors to ensure timely delivery, StockHQ is not liable for delays caused by vendors or external factors.
- Disputes regarding order quality, quantity, or delivery must be filed through the platform within a reasonable period after delivery.
4. Vendor Terms
- Vendors must provide accurate product information including pricing, stock availability, and product specifications.
- All products submitted to the catalog are subject to review and approval by StockHQ before being visible to buyers.
- Vendors must fulfill orders within the agreed timeframes and maintain the quality standards represented in their product listings.
- Vendor payouts are processed according to the settlement schedule agreed during onboarding, typically after buyer payment is confirmed.
- Payouts may be withheld for orders with open disputes until the dispute is resolved.
5. Acceptable Use
You agree not to:
- Use the platform for any unlawful purpose or in violation of any applicable law or regulation
- Submit false, misleading, or fraudulent information
- Interfere with or disrupt the platform or its infrastructure
- Attempt to gain unauthorized access to any part of the platform
- Circumvent the platform to transact directly with parties discovered through the platform
- Scrape, harvest, or collect data from the platform without authorization
- Resell or redistribute platform access without prior written consent
6. Payments & Fees
- StockHQ may charge platform fees, service fees, or subscription fees as communicated during onboarding or through the platform.
- All prices are in Philippine Pesos (PHP) unless otherwise stated.
- Late payments may incur additional charges as specified in your service agreement.
- StockHQ reserves the right to modify pricing and fee structures with reasonable advance notice.
7. Intellectual Property
The Stock Depot Enterprise platform, including its design, features, content, and branding, is owned by StockHQ Technologies OPC and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the platform for its intended purpose. You may not copy, modify, distribute, or create derivative works from any part of the platform without our prior written consent.
8. Disclaimers
The platform is provided on an "as is" and "as available" basis. StockHQ makes no warranties, express or implied, regarding:
- The quality, safety, or legality of products listed by vendors
- The accuracy of product descriptions or vendor information
- Uninterrupted or error-free operation of the platform
- The reliability or timeliness of deliveries coordinated through the platform
StockHQ acts as a platform facilitator and is not a party to transactions between buyers and vendors.
9. Limitation of Liability
To the maximum extent permitted by Philippine law, StockHQ Technologies OPC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from your use of the platform. Our total liability for any claim related to the platform shall not exceed the total fees you have paid to us in the twelve (12) months preceding the claim.
10. Dispute Resolution
Disputes between buyers and vendors regarding orders should first be filed through the platform's dispute resolution system. StockHQ will review and mediate disputes in good faith. For disputes between you and StockHQ, both parties agree to attempt resolution through good-faith negotiation before pursuing formal legal action.
11. Termination
- StockHQ may suspend or terminate your account at any time for violation of these Terms or for any other reason with reasonable notice.
- You may request account closure by contacting us. Outstanding obligations (unpaid invoices, pending orders) must be settled before closure.
- Upon termination, your right to use the platform ceases immediately. Provisions that by their nature should survive termination will remain in effect.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines. Any legal action arising from these Terms shall be filed in the appropriate courts of the Philippines.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the platform after changes are posted constitutes acceptance of the updated Terms.
